SEC Requires Physical Address for Remote/Virtual Companies

Goodwin’s “Remote-Only Company SEC Filings” advises virtual or remote-only/remote-first companies that don’t have a physical headquarters to include a physical address, which may be a PO Box or the company’s agent for service of process, on their registration statements and other SEC filings. Based on recent filings, the firm observed that the SEC apparently won’t declare a registration statement effective absent a physical address.
