Glass Lewis’s Q4 2024 peer submission window for companies with annual meetings to be held between March and September 2025 opened today (Thursday, November 21) and will remain open through Thursday, December 12. Glass Lewis considers the self-selected peer group to inform its A-F grades of its pay-for-performance model and its say on pay recommendations.
Reasons to submit:
· Your company has a more recent public disclosure with an updated peer group (e.g., on corporate website or via Form 8-K) than the most recently filed proxy statement.
· Your company provided two compensation peer groups in your most recently filed proxy statement and you want to clarify which peer group Glass Lewis should use.
· Your company publicly disclosed your 2023 peer group and specific changes to the constituents of that peer group for 2024, without disclosing a complete list of the 2024 peer group on a standalone basis.
Note that Glass Lewis only accepts or considers peer group information that is publicly available to shareholders.
Companies need not submit their self-selected peer group if it remains unchanged from the compensation peer group disclosed in their most recent proxy statement.
