E-Group Rules & Etiquette
Thank you for being part of the Society community. To support a valuable, respectful, and candid member experience, the Society has established these guidelines for participation.
By joining and using the Society’s online communities, discussion groups, resource libraries, and related member forums, you agree that you have read and will follow these rules and guidelines. You also agree to use these forums for discussions, shared files, and content that are appropriate to the purpose and audience of the specific community.
The Society’s communities are intended to help members solicit peer input, benefit from shared experience, exchange practical perspectives, and participate in ongoing professional conversations. Some communities are available to all Society members, while others are limited to specific committees, groups, or invited participants. Members should consider the audience and access level of each community before posting.
Member forums operate best when members participate with professionalism, good judgment, and respect for one another. The Society may not actively monitor all communities for inappropriate content and relies in part on members to help preserve the quality and integrity of the community by reporting concerns when appropriate.
The Society encourages members to contribute high-quality dialogue that supports the corporate secretary and governance professional community. To preserve a climate that encourages civil, candid, and constructive dialogue, the Society reserves the right to remove content, suspend participation privileges, or terminate access to the community for anyone who violates these rules.
Questions about community participation should be directed to Member Services via the Contact Us link on this site.
The Rules
-
Be respectful and professional. Healthy debate and differing views are encouraged, but challenge ideas rather than individuals. Personal attacks, harassment, discriminatory remarks, threats, abusive language, or intentionally inflammatory comments are not permitted.
-
Keep posts relevant to the purpose of the applicable community, discussion list, or resource library. Posts should support peer learning, professional exchange, or Society-related engagement.
-
Do not post commercial, promotional, or solicitation messages for a product or service in which you have a personal or business interest, unless the Society has expressly permitted that use. If you believe a product or service may be helpful to another member, contact that person directly and transparently.
-
Use caution when discussing companies, vendors, products, services, pricing, fees, contract terms, or business practices. Comments may raise legal, antitrust, libel, slander, confidentiality, or professional responsibility concerns. Members are responsible for ensuring their posts comply with applicable laws and professional obligations.
-
Do not post material non-public information, confidential company information, privileged information, client information, board materials, committee-sensitive information, or other information you are not authorized to share.
-
Community access varies. Some communities are open to all Society members, while others are limited to specific committees, groups, or invited participants. Before posting, consider the audience for that specific community. Limited access does not guarantee confidentiality, and members should avoid posting anything they are not comfortable sharing within that community.
-
Do not copy, forward, screenshot, quote, repost, upload, summarize, or otherwise distribute content from a limited-access community outside that community without permission from the original poster or the Society. In all-member communities, use professional judgment and do not share another member’s post externally in a way that identifies the member, their organization, or sensitive circumstances without permission.
-
Do not use automated tools, bots, scraping tools, browser agents, AI search agents, or other third-party tools to access, collect, extract, summarize, store, reproduce, train on, or redistribute Society community content unless expressly authorized by the Society. Members may not share login credentials or allow a third-party tool or person to access member-only areas through their account.
-
Do not use automated tools, bots, scraping tools, browser agents, AI search agents, or other third-party tools to access, collect, summarize, store, reproduce, train on, or redistribute Society community content unless expressly authorized by the Society.
-
Respect copyright and ownership rights. Do not post materials unless you own them, have permission to share them, or are otherwise authorized to do so. Please review the disclaimer and legal rules below regarding copyright ownership and use of posted content.
-
The Society reserves the right to remove, edit, reject, or moderate posts or materials that violate these terms, are inconsistent with the purpose of the community, or may create legal, operational, reputational, or member-experience concerns.
Discussion Group Etiquette
-
When posting under your name, include helpful identifying information where appropriate, such as your name, organization, title, or location. This does not apply to anonymous posts or areas where anonymous participation is permitted.
-
Send a message to the full group only when the information is likely to benefit the group. Send brief replies such as “thank you,” “me too,” or other individual responses directly to the sender when possible.
Preserve the trust of the community. Even when a post is not confidential by law, members should treat peer discussions with care and avoid sharing another member’s words, identity, organization, or circumstances outside the intended audience without permission.
Automated Access, Third-Party Tools, and Member-Only Content
The Society website and online community include content, materials, announcements, newsletters, alerts, directories, discussion posts, webpages, resources, event-related information, and other materials that may be available only to Society members, registered users, or participants in specific limited-access communities.
Members are responsible for maintaining the confidentiality of their login credentials and for activity conducted through their accounts. Members may not share login credentials or allow any unauthorized person, automated tool, bot, scraping tool, browser agent, artificial intelligence search assistant, plug-in, extension, script, or other third-party technology to access member-only areas or restricted community content through their account.
Use of any third-party or automated tool does not change the member-only or limited-access nature of Society content. Unless expressly authorized by the Society, members may not use such tools to scrape, bulk download, index, copy, compile, store, train on, reproduce, redistribute, commercialize, publish, or otherwise share Society member-only content or restricted community content.
This restriction does not prohibit members from using Society content for their own personal professional reference consistent with their membership access and these terms. It also does not restrict use of publicly available materials obtained independently from their original public sources.
The Society may limit, suspend, or terminate access, or take other appropriate action, if activity conducted through a member account appears inconsistent with these terms, applicable law, or the Society’s rights or interests.
This site is provided as a service for the members of the Society for Corporate Governance (the “Society"). The Society is not responsible for the opinions, statements, advice, or information posted by members or other third parties. Posts reflect the views of the individual contributors and do not necessarily reflect the views of the Society.
The Society disclaims all warranties with respect to information posted on this site, whether posted by the Society, a member, or any third party; this disclaimer includes all implied warranties of merchantability and fitness. In no event shall the Society be liable for any special, indirect, incidental, consequential, or other damages, including damages resulting from loss of use, data, or profits, arising out of or in connection with the use of, reliance on, or performance of any information posted on this site.
Members may not post any defamatory, abusive, profane, threatening, harassing, discriminatory, offensive, unlawful, or otherwise inappropriate materials. Members also may not post any information or other material protected by copyright without the permission of the copyright owner. By posting material, the posting party warrants and represents that he or she owns the copyright with respect to such material or has received permission from the copyright owner. In addition, the posting party grants the Society and users of this site the nonexclusive right and license to display, copy, publish, distribute, transmit, print, and use such information or other material.
Members may not copy, forward, screenshot, quote, repost, upload, summarize, or otherwise distribute content from a limited-access community outside that community without permission from the original poster or the Society. Members should also use care when sharing content from all-member communities and should not externally identify another member, their organization, or sensitive circumstances without permission.
Members may not use automated tools, bots, scraping tools, browser agents, AI search agents, or other third-party tools to access, collect, extract, summarize, store, reproduce, train on, or redistribute Society community content unless expressly authorized by the Society. Members may not share login credentials or allow any third party, automated tool, or AI system to access member-only areas through their account.
Messages should not be posted if they encourage or facilitate members to arrive at any agreement, either expressly or impliedly, that could lead to price fixing, wage fixing, a boycott of another's business, or other conduct intended to illegally restrict free trade. Messages that encourage or facilitate an agreement about the following subjects are inappropriate: prices, discounts, or terms or conditions of sale; salaries; profits, profit margins, or cost data; market shares, sales territories, or markets; allocation of customers or territories; or selection, rejection, or termination of customers or suppliers.
The Society may not actively monitor the site for inappropriate postings, and does not on its own undertake editorial control of postings. However, in the event that any inappropriate posting is brought to the attention of the Society, the Society reserves the right to take appropriate action, including removing or editing content, limiting participation, suspending access, or terminating access to the community.
