Potentially helpful as companies consider various approaches to and forums for human capital and corporate culture disclosure and associated board oversight, "Board-Employee Interaction - Disclosure on Policies and Practices" from CII's Research and Education Fund reveals the results of its review of S&P 100 companies' most recent proxy statements and current corporate governance guidelines for disclosure relating to board/director interaction with employees. Relevant disclosures - which CII identified in 97 companies - illustrated varying access, interaction, and engagement policies and practices including full unstructured access, structured interactions/engagement, management-arranged access, and/or other approaches. The report seeks to group the disclosures into broad categories, each of which is supported by illustrative examples.
